Chapter By-Laws

ARTICLE I - NAME, ORIGIN, AND PLACE OF BUSINESS

Section A - These Chapter By-Laws are consistent with the "National Contract Management Association" (hereafter referred to as "NCMA") Chapter Guide (hereafter referred to as "CG") and NCMA By-laws (NCMA 1-2 dated July 2009), which is incorporated into this document by this reference. In the case of any inconsistency between the National By-Laws and the Chapter By-Laws, the National By-Laws shall govern. These Chapter By-Laws supersede previous editions.

Section B - The name of this Chapter is "Bluegrass Chapter". The date of the Chapter Charter is June 30, 1992. The Chapter number is 152.

Section C - The principal office for the transaction of the business of the Chapter is 6004 Alanadale Dr., Louisville, KY 40272, or such other place as may be designated by an affirmative vote of three-fourths of the Chapter officers.

Section D - The fiscal year and program year of the Association shall be from July 1 through June 30 of the following year.

Section E - In accordance with the National By-Laws, Chapter By-Laws and revisions to Chapter By-Laws shall be approved by a two thirds vote of the general membership of the Chapter (who are present at a regularly scheduled meeting), and sent to the National office for approval by the National Secretary, or the Executive Vice-President as the designated representative.

Section F - Chapter By-Laws shall be revised when there are major changes to the National By-Laws that create an inconsistency between that document and these By-Laws, or no longer than every 5 years, but a failure to revise the Chapter By-Laws shall not make the By-Laws invalid.

ARTICLE II - PURPOSES

Section A - The basic purpose of the Chapter is to foster professional growth and the educational advancement of members primarily, and of other individuals in the private sector (including industry and professional firms), the public sector (including federal, state and local government) and education, in and around the areas of Louisville, Kentucky, to include the adjacent areas of Southern Indiana, Lexington, Kentucky, and Northern Kentucky, who are engaged in or associated with any aspect of the field of management of contracts, which, for the purposes of the Chapter, shall include all types of instruments involving expenditure of public or private funds, whether by contract, subcontract, grant, assistance agreement, lease, or other form.

Section B - Additional purposes of the Chapter are to provide for interchange of information among its members, to conduct research in the field of management of contracts, to provide and maintain standards of proficiency and ethics, to encourage an increasing professional attitude toward contract management and procurement, and to unite all persons interested in the profession toward the fulfillment of these purposes.

ARTICLE III - MEMBERSHIP

Section A - The membership of the Chapter shall consist of those persons and corporations who are members as of the adoption of the Bylaws and those described in Article II, Section A, above, who may from time to time become members in accordance with the provisions of the By-laws.

ARTICLE IV - MEMBERSHIP, ELIGIBILITY, AND CLASSES

Section A - All individual members of the Association have the right to one vote at the Chapter-level and to hold any elective office and/or appointive position at the Chapter and National levels. A corporate member does not have voting rights and cannot hold an elective office or permanent position. Classes of membership are as follows:

(1) Regular Member: An individual member who belongs to the chapter and is current in all obligations to the Association.

(2) Associate Member: An individual member who belongs to the Chapter, and is current in all obligations to the Association, and who has an annual gross income less than the amount established by the Association’s Board of Directors.

(3) Retired Member: An individual member who is neither employed nor self-employed, and is a current member of NCMA. Retired membership status may be granted at a reduced rate to be established by the Board of Directors.

(4) Corporate Individual/Member: an individual member who pays reduced dues under the terms of an agreement between their employer and NCMA.

(5) Corporate member: a corporation that pays a fee to associate with NCMA and connect to its members.

(6) Student Member: An individual member who is a full-time student in an accredited, degree-granting institution, and does not hold full-time employment in Contracts Management or a related field.

(7) Member Pro Vita: An individual member who belongs to the Chapter and is current in all obligations to the Association, and who pays a one-time fee to be a member of NCMA for their lifetime.

ARTICLE V - INITIATION FEE(S) AND DUES

Section A - To be in good standing, a member must pay appropriate initiation fee(s) and annual dues in accordance with their particular class as established by the Association’s Board of Directors.

Section B - An individual member who does not pay the required dues will be automatically suspended one month past the due date and shall no longer have the right to vote or hold elective or appointive office at either National or Chapter levels. The Association Board of Directors sets policy concerning the timing of the suspension and membership reinstatement, following payment of dues. A corporate member will be suspended one month past the due date and shall remain suspended until dues are paid in full.

ARTICLE VI - CHAPTER OFFICERS, ASSETS, ACTIVITIES, AND STATEMENTS

Section A - Chapter Officers consist of the following positions: President, Vice-President/President Elect, Secretary, and Treasurer.

Section B - Chapter Chairs consist of the following positions: Awards, By-Laws Update, Education/Certification/Scholarship, Membership, Membership Directory, National Education Seminar, Newsletter, Nominations and Elections, Photography, Programs, and Website.

Section C - The duties of the Chapter Officers and Chapter Chairs are as stated in the National By-Laws. If there is no description in Section B of the CG for the Chapter Committee Chair, the instructions for "Other/Special Committees" shall be followed.

Section D - Chapter assets shall be conserved and protected in accordance with applicable laws, regulations, and prudent practices. They shall be used for purposes consistent with those set forth in Article II of these By-laws. In the event of Chapter charter revocation or dissolution, all residual chapter funds shall be forwarded to the principal office of the Association.

Section E - Chapter activities desired to be designated "National" must be approved in accordance with policies established by the Board of Directors. The Association shall not be liable for any loss or expense which may occur in connection with any chapter activities, except to the extent that the Board of Directors itself specifically and in writing consented to such liability.

Section F - The Chapter shall issue no statements or take official action on matters of national import to the Association without the prior consent of the Board of Directors.

ARTICLE VII - ELECTION OF OFFICERS

Section A - The Nominations and Elections Committee shall be responsible for filling the slate of officers, and ensuring that elections are completed by the date established in the month of March of each program year. Individuals serving on this Committee may not be incumbent Chapter Officers who have any intention of running for any office for the following program year. Committee members who are not incumbent chapter officers, but who do intend to run for an office the following program year, may not nominate themselves for the office they seek.

Section B - Nominations of Chapter Officers shall be in accordance with the CG. They shall be nominated from the general membership and elected with an affirmative secret vote of a majority of the current chapter membership present at the meeting or by e-mail when agreed to by a majority of current Chapter membership.

Section C - Nominations shall be announced as open in the months preceding the election and in the Chapter newsletter, if time permits.

Section D - Nominated candidates shall be announced in a membership meeting notice preceding the election meeting. Further nominations shall be requested from the floor at the election meeting. Self-nominations can be made by telephone, e-mail, or mail, and such nominations will be considered during the election.

Section E - Voting shall be completed during the March meeting by a secret ballot of the membership present at that meeting or by e-mail of the current Chapter membership prior to the March meeting. Elected officers will be announced and introduced at the March meeting.

Section F - Elected officers shall be installed at the last meeting of the program year.

Section G - Chapter Officers may be removed from office for cause in accordance with the National By-Laws.

ARTICLE VIII - TERM OF OFFICE

Section A - Chapter Officers shall be elected for one program year with the exception of the Vice- President/President-Elect, who will serve a two year term, one program year as Vice-President and one program year as President. If the President is unable to serve or can not complete his/her term of office, the Vice-President will complete the President's term.

ARTICLE IX - CHAPTER BOARD

Section A - The elected Chapter Officers shall be also called the Chapter Board. The Chapter President shall call the Board meetings and provide each Board member with an agenda for the meeting. Such meetings may take place by phone, if necessary. Chapter Chairs may also be invited to Board meetings.

ARTICLE X - CHAPTER MEETINGS

Section A - The Chapter shall have one membership meeting per quarter, at a minimum. The quarterly meetings will be held during the months of October, December, March, and June. There will be a business meeting with every National Education Seminar, scheduled during March. A Chapter team-building meeting, plus workshops and study groups will meet in addition to these scheduled membership meetings.

Section B - The date, time, and place of Chapter meetings shall be as determined by the Programs Chair with agreement of the Chapter President.

Section C - Programs for each meeting shall be announced and/or published as soon as they can be determined and scheduled.

ARTICLE XI - CHAPTER ASSETS

Section A - The Chapter Treasurer shall have the finances of the Chapter audited by an objective third party or independent auditor once per year at the end of the program year.

Section B - The Chapter shall manage its assets by formulating an estimate of program year expenditures and income.

Section C - Each Chapter officer shall submit a budget to the Chapter Treasurer at the beginning of the program year. The budget shall consist of intended program year expenditures and estimated income from planned Chapter activities for their area of responsibility. This may be accomplished electronically, verbally in person, or telephonically.

Section D - The Chapter Treasurer shall collate the various budgets and submit the program year chapter budget to be voted on and approved by the Chapter Board at the beginning of the program year. This will most likely take place during the Leadership Planning Meeting during August of each year.

Section E - The Treasurer shall report on the financial status of the chapter at each meeting, either in person, or by written report. The other officers may request the status of the chapter’s finances at any time and may request to see the financial records at any time.

ARTICLE XII - ASSOCIATION CODE OF ETHICS

Section A - The Association’s Contract Management Code of Ethics applies in full force and effect to the Chapter.

Section B - The Code of Ethics may be referenced in descriptive publications of the Chapter and printed at least once each year in the Chapter newsletter.

ARTICLE XIII - PARLIAMENTARY AUTHORITY AND INTERPRETATION

Section A - The rules of order for all meetings of the Chapter shall be Robert's Rules of Order. The rules may be temporarily suspended by a 75 percent majority vote of those present at such meeting. All questions of By-Laws interpretation shall be decided by the Chapter Board.

ARTICLE XIV - REVOCATION OR AMENDMENTS TO THESE BY-LAWS OR DISSOLUTION OF THE CHAPTER

Section A - These By-Laws may be revoked or amended and this Chapter may be dissolved only in the following sequential manner:

(1) By written proposal by any Officer submitted to the Secretary;

(2) By presentation of such proposal by the Secretary at the current or next Chapter Board meeting after its receipt; and

(3) In the case of revocation or amendments to the By-Laws only, by an affirmative vote of three-fourths of the Chapter Board at a meeting where a quorum exists, and

(4) In the case of dissolution of the Chapter only, a proposal shall be presented to the Chapter membership for ratification by an affirmative vote of more than two thirds of all votes cast by the members at a Membership meeting where a quorum exists (One-tenth of the total number of members).

Section B - Upon dissolution of the Chapter, after paying, or adequately providing for, its debts and obligations, the Chapter Board or persons in charge of its liquidation shall dispose of any remaining assets of the Chapter must be returned to the national NCMA organization.
